Sales Policy

 

COVVEX olarak, Türkiye ve yurt dışındaki müşterilerimize çeşitli ürün ve hizmetlerimizi sunarken şeffaf, güvenilir ve çözüm odaklı bir yaklaşımı benimsemekteyiz. İşte satış süreçlerimizdeki temel ilkelerimiz: – As COVVEX, we adopt a transparent, reliable, and solution-oriented approach while offering our diverse range of products and services to our customers in Turkey and international markets. Here are the core principles of our sales processes:

1.  Scope

Our sales policy applies to all products and services offered to our customers through COVVEX. By placing an order, our customers are deemed to have accepted this policy. Unless otherwise agreed upon in writing between the parties, our customers’ own terms and conditions shall not apply.

  1. Orders and Quotations
  • Validity: Our quotations are valid for 3 months based on market conditions and are non-binding.
  • Confirmation: Orders are not considered valid unless confirmed by COVVEX in writing.
  • Cancellations: Orders may be cancelled due to operational reasons or force majeure.
  • Amendments: Changes to orders are only valid with written approval.                     

3.Delivery and Risk Management

  • Timeline: Delivery dates are estimated and are non-binding.
  • Transfer of Risk: All risks pass to the Customer the moment the products are delivered to the carrier.

4.Pricing and PaymentDelays: Delivery times may be extended in cases of force majeure or logistical delays; COVVEX assumes no liability for such occurrences.

  • Reporting: Any deficiencies or damages in products must be reported in writing within 7 days of delivery.
  • Shelf Life: The shelf life of the products is specified in the Technical Data Sheets (TDS); tracking and monitoring this responsibility rests solely with the Customer.
  • Modifications: Product alterations, the use of additives, or different applications are only permitted with prior written consent.

5.Product Quality and Shelf Life

  • Currency: Prices are in EUR and are exclusive of VAT.
  • Payment Terms: Payments must be made within the period and via the method specified on the invoice.
  • Delays: Legal interest will be applied to late payments, and the Customer has no right to offset or defer payment.

6.Intellectual and Industrial Property Rights

  • Ownership: All trademarks, logos, technical information, and know-how belong to COVVEX or our suppliers.
  • Restrictions: Customers may not interfere with these rights, sell the products under their own brand, or transfer them to third parties.

7.Export and Legal Compliance

  • Compliance: The Customer agrees to comply with all national and international embargoes and sanctions.
  • Restrictions: Product shipments cannot be made to restricted persons or regions.

8.Force Majeure

  • Suspension of Obligations: In events such as natural disasters, war, epidemics, etc., the obligations of the parties may be suspended.
  • Non-liability: No liability shall arise for the parties during the period of force majeure.

9.Confidentiality and Personal Data Protection

The Customer agrees to keep all commercial and technical information confidential and to protect it within the scope of KVKK/GDPR.

10.Governing Law and Jurisdiction

  • Governing Law: Our sales policy is subject to the laws of the Republic of Turkey.
  • Jurisdiction: In the event of any disputes, the Bursa Courts and Bursa Enforcement Offices shall have exclusive jurisdiction
